Terms of Service
These Terms of Service ("Terms") govern your access to and use of the 4D-360-AI service operated by 4D-360 Inc. ("4D-360", "we", "us"), including our websites at 4d-360.com and its subdomains, our APIs, and any related software (collectively, the "Service").
By using the Service you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
4D-360-AI is a four-component SaaS platform for utility-network mapping:
- Capture — drive-past Lidar and 360° imagery capture using a roof-rack camera + GPS rig you supply or purchase from us.
- Feature Extraction — automated 3D reconstruction, dense point-cloud generation, navigable 3D scenes, and AI asset detection from the captured imagery.
- GIS Integration — importing the detected assets into your enterprise GIS as typed records.
- Conflation — constrained least-squares network adjustment for landbase migrations.
You may subscribe to one, several, or all components. The Service is currently in a beta / limited-release phase; features, accuracy class, delivery times, and pricing are subject to change. We will give reasonable notice of material changes.
2. Eligibility & accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Notify us promptly at [email protected] of any unauthorised use.
- One user per seat; sharing credentials is not permitted.
3. Subscriptions, fees, and cancellation
- Pricing is published on the relevant component page and in the bundle summary at
ai.4d-360.com. Per-component pricing starts at $100 / user / month (Capture) and ranges to $400 / user / month (Conflation). The four-component bundle is $1,000 / user / year (software only); the optional capture-rig hardware is a one-off $10,000. - Billing is handled by Stripe. You authorise us to charge your stored payment method for the applicable subscription fees. Stripe's end-user terms apply to its services.
- Renewals. Subscriptions renew automatically at the end of each term unless cancelled before the renewal date. You can cancel from your Stripe customer portal or by contacting [email protected].
- Refunds. Fees are non-refundable except where required by law. Annual subscriptions may be cancelled at any time; cancellation takes effect at the end of the current paid term.
- Hardware. The capture rig is sold as goods, not licensed. Title passes on payment; shipping, returns, and warranty terms will be set out in a separate hardware purchase agreement before any rig is shipped.
- Taxes. Prices exclude applicable taxes (VAT, sales tax, GST, etc.). You are responsible for taxes assessed on your subscription.
4. Acceptable use
You will not, and will not allow anyone using your account to:
- Use the Service to violate law, regulation, or third-party rights (including privacy, surveillance, and data-protection law applicable to capturing public-space imagery in your jurisdiction).
- Upload imagery you have no lawful basis to capture or process, including imagery containing identifiable individuals where consent or another lawful basis is required and you have not obtained it.
- Reverse-engineer, scrape, or attempt to derive the source code of the Service except to the extent expressly permitted by law.
- Probe, scan, or test the vulnerability of the Service without our prior written permission (responsible disclosure: [email protected]).
- Interfere with the Service, abuse rate limits, or otherwise disrupt service for other users.
- Use the Service to train competing machine-learning models or to generate derivative datasets for resale.
- Resell or sublicense the Service without our prior written consent.
5. Customer Data & licences
- Ownership. You retain all right, title, and interest in the Customer Data you upload (drive footage, GPS traces, network geometry, GIS schemas, etc.) and in any outputs we generate from your Customer Data on your behalf.
- Licence to us. You grant 4D-360 a non-exclusive, worldwide, royalty-free licence to host, process, transmit, and display Customer Data solely to provide the Service to you. We may also process Customer Data in aggregated, de-identified form to operate, secure, and improve the Service.
- Controller / processor. Where the Customer Data contains personal data subject to the GDPR or equivalent law, you act as controller and 4D-360 acts as processor. Our processing instructions are set out in our Privacy Policy and any applicable Data Processing Agreement.
- Backups & deletion. We back up Customer Data for operational continuity. On termination of your subscription, we will delete or return Customer Data within 30 days, subject to backup-rotation timelines.
6. Our intellectual property
The Service, including all software, models, designs, documentation, brand assets, and the underlying 4D-360 capture pipeline, is owned by 4D-360 or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms during the term of your subscription.
7. Third-party services
The Service relies on third-party providers (listed in our Privacy Policy) including Stripe (billing), Cloudflare (hosting / CDN / Access), Hetzner (origin servers), RunPod (GPU compute), Anthropic and Voyage AI (help-bot). Your use of those services is also subject to the providers' own terms. 4D-360 is not responsible for outages, defects, or actions of third-party providers beyond our control.
8. Beta features and accuracy
Some components are marked "Phase 2", "beta", or "coming soon". Those features are provided on an as-is basis, may change without notice, and may be withdrawn. The Service's accuracy class (5–10 cm pole height, 10–20 cm surface position) is a target characterisation against surveyed reference data and is not a contractual warranty for any specific deliverable. The Service is not a substitute for survey-grade engineering reference.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 4D-360 OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
OUR AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g., for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
11. Indemnification
You will indemnify and hold 4D-360 harmless from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of (a) your Customer Data, (b) your use of the Service in breach of these Terms, or (c) your violation of any third-party right, including any privacy, publicity, intellectual-property, or data-protection right.
12. Termination
- You may terminate your subscription at any time as described in Section 3.
- We may suspend or terminate your access if you materially breach these Terms, if your account becomes seriously delinquent, or if we are required to do so by law.
- On termination, your right to use the Service ends, your Customer Data is handled per Section 5, and all provisions of these Terms that by their nature should survive termination will survive.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction to hear and decide any dispute arising out of or in connection with these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
If you are a consumer resident in the EU, UK, or Switzerland, you also have the protection of the mandatory provisions of consumer-protection law in the country where you reside.
14. Modifications
We may revise these Terms from time to time. If we make material changes we will notify you by email (to the address on your account) or via a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
15. Miscellaneous
- These Terms (together with the Privacy Policy and any Order Form or DPA) constitute the entire agreement between you and 4D-360 regarding the Service.
- If any provision is held invalid or unenforceable, the rest of these Terms will remain in effect.
- Our failure to enforce any right is not a waiver of that right.
- You may not assign these Terms without our prior written consent; we may assign them to a successor entity in connection with a merger, acquisition, or asset sale.
